Master Services Agreement (AthPlan)

1. Interpretation

This Master Services Agreement ("Agreement") is entered into by and between AthPlan ("Provider," "we," "us") and the entity subscribing to our services ("Client," "you"). This Agreement governs your access to and use of the AthPlan AI scheduling assistant ("Service").

2. The Service

AthPlan provides an Artificial Intelligence (AI) based communication tool integrated via WhatsApp, designed to assist Client managers and players with scheduling and logistical inquiries.

Scope: The Service includes the configuration of the AI Bot, ingestion of Client-provided schedules, and ongoing hosting of the Bot interaction layer.
Service Availability: While we aim for 24/7 availability, the Client acknowledges that the Service relies on third-party platforms (WhatsApp/Meta) and may experience downtime.

3. Artificial Intelligence Disclaimer & User Responsibilities

3.1. Nature of Generative AI: The Client acknowledges that the Service utilizes Large Language Models (LLMs) and generative AI technologies. These technologies function based on probability and pattern matching, not deterministic database retrieval.

3.2. Risk of Inaccuracy ("Hallucinations"): The Client understands that the Service may occasionally generate incorrect, misleading, or outdated information.

3.3. Human Verification Required: The Service is intended strictly as an administrative support tool, not a safety-critical system.

The Client agrees that: It is the sole responsibility of the Client’s management and end-users (players/staff) to verify critical logistical details (e.g., flight times, game locations, hotel addresses) against official documentation.

AthPlan is not a travel agent or logistics manager: We are a software provider. We are not responsible for the physical execution of your schedule.

4. Fees and Payment

4.1. Fees: The Client agrees to pay the fees set forth in the applicable Order Form or Digital Checkout Flow ("Subscription Fees").

4.2. Payment Terms: Unless otherwise agreed in writing, all fees are due in advance of the service period.

4.3. Non-Refundable: Service fees are non-refundable, regardless of the Client's actual usage levels during the billing period.

5. Limitation of Liability

5.1. Indirect Damages Waiver: To the maximum extent permitted by law, in no event shall AthPlan be liable for any indirect, punitive, incidental, special, or consequential damages, including but not limited to:

Travel Costs: Costs associated with missed flights, buses, or trains.
Operational Losses: Forfeited games, penalties, or lost revenue due to scheduling errors.
Reputational Harm: Damage to the Client's brand arising from Bot communications.

5.2. Liability Cap: AthPlan’s total cumulative liability to the Client for any claims arising out of or relating to this Agreement shall be strictly limited to the amount actually paid by the Client to AthPlan in the three (3) months preceding the claim.

6. Data & Third-Party Platforms

6.1. WhatsApp Reliance: The Service functions exclusively through WhatsApp. AthPlan is not liable for service disruptions, account bans, or policy changes enacted by WhatsApp (Meta Platforms, Inc.) that render the Service unusable.

6.2. Data Accuracy: The Client is solely responsible for the accuracy of the PDF/Data schedules provided to AthPlan. If the source data is flawed, the AI output will be flawed. AthPlan is not liable for errors originating from Client-provided materials.

7. Term and Termination

7.1. Term: This Agreement commences on the Effective Date and continues on a recurring basis (e.g., month-to-month or annually) until terminated.

7.2. Termination for Convenience: Either party may terminate this Agreement with thirty (30) days' written notice.

7.3. Effect of Termination: Upon termination, the Bot will be deactivated, and AthPlan’s obligation to process inquiries will cease immediately.

8. General Provisions

8.1. Force Majeure: AthPlan shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including internet failures, third-party API outages, or acts of God.

8.2. Governing Law: This Agreement is governed by the laws of Lithuania.

9. Privacy & Data Security

9.1. Privacy Settings: You can manage your data preferences and privacy settings directly within your account dashboard.

9.2. Document Privacy: We ensure the absolute privacy of all documents uploaded to the system. Your files are stored securely and are never seen by, sold to, or shared with any third party, with the sole exception of the secure AI model required to interpret the data for the AI Bot's functionality.
